# Arpadan — Terms & Conditions

## 1. What Arpadan is (and isn't) Arpadan provides an online catalog and store-management tool that lets sellers ("Sellers") display products and receive order enquiries, which are then completed directly between the Seller and the buyer ("Buyer") via WhatsApp or other means outside the platform.

Arpadan is not a marketplace, payment processor, courier, or party to any sale. We do not process buyer payments, hold funds, handle delivery, or take part in the transaction between a Seller and a Buyer. Any purchase, payment, delivery, return, warranty, or dispute is solely between the Seller and the Buyer. Arpadan is not liable for the products listed, the conduct of Sellers or Buyers, or the outcome of any transaction.

## 2. Accounts & eligibility 2.1 Sellers register with a name, phone number (verified by SMS code), and store name. Sellers must be at least 18 and legally able to sell the goods they list. 2.2 To reduce fraud, Sellers complete an identity verification step. Once verification is complete, the identity document is deleted; only a verification status and an identification reference are retained (see our Privacy Policy). 2.3 A store URL becomes public only after approval by Arpadan. We may refuse, suspend, or remove any account or store at our discretion, including for the reasons in Section 4. 2.4 Sellers are responsible for all activity under their account and for keeping access to their phone number secure.

## 3. Seller obligations Sellers agree to: - list only lawful goods they are entitled to sell, with accurate descriptions, prices, and stock; - comply with all applicable Azerbaijani laws, including consumer-protection, tax, and advertising rules; - honour orders and handle their own delivery, returns, refunds, and customer service; - obtain the necessary consent before sending marketing messages to their customers, and comply with the platform's consent and opt-out (STOP) mechanisms; - not use the platform to defraud buyers or misrepresent goods.

## 4. Prohibited use You may not use Arpadan to list or sell illegal, counterfeit, stolen, dangerous, or restricted goods; to infringe intellectual property; to send spam; to harass; to attempt to breach security; or to violate any law. We may suspend or terminate stores that breach these terms, with or without notice where necessary to prevent harm or comply with law.

## 5. Subscriptions & fees Arpadan offers a free tier and a paid subscription for Sellers. Billing, cancellation, and refund terms are set out in the Subscription (Billing & Cancellation) Policy, which forms part of these Terms.

## 6. Content & intellectual property 6.1 Sellers retain ownership of the content they upload (product names, descriptions, images) and grant Arpadan a licence to host and display it for the purpose of operating the service. 6.2 Sellers are solely responsible for their content and confirm they have the rights to use it. 6.3 The Arpadan name, logo, and platform are our property and may not be used without permission.

## 7. Availability & changes We aim to keep the service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features, and may update these Terms; material changes will be notified via the platform. Continued use after changes constitutes acceptance.

## 8. Limitation of liability To the maximum extent permitted by law, Arpadan is not liable for indirect or consequential losses, for any transaction between Seller and Buyer, or for loss arising from Seller or Buyer conduct. Nothing limits liability that cannot be limited by law.

## 9. Termination You may stop using the service at any time. We may terminate or suspend access for breach of these Terms or as required by law. Provisions that by their nature survive termination (for example, liability and intellectual property) continue to apply.

## 10. Governing law & disputes These Terms are governed by the laws of the Republic of Azerbaijan. Disputes are subject to the competent courts of Baku, Azerbaijan, unless otherwise required by law.
